Woodlake Resident Amenities Access Membership Agreement FORM

I hereby apply for a Woodlake Resident Amenities Access Membership (I provide the following information as part of my application and by signing this application, indicate my agreement to the terms set forth herein. “Amenities” represents the Woodlake Aquatics and Fitness Center and/or the Woodlake Swim and Racquet Center based on the membership options selected by the Member.

DUES AND CHARGES:

• Membership dues are to be paid by the first of each month.

• The first month’s dues shall be paid before Member will have access to the Center.

SUSPENSIONS AND CANCELLATIONS:

• Woodlake can change or alter dues at Woodlake’s discretion providing 30-day notice to members.

• All balances not paid within 5 days of the first of each month will result in suspension from Center.

• All balances not paid within 30 days of the due date will result in account cancellation from Center.

• Should a Member wish to rejoin after account cancellation, a $60.00 Rejoining Fee and the current month’s dues shall be paid before Member may re-access the Center.

FREEZE FEE (Account Pause):

In the event a Member finds it necessary to pause their account due to circumstances beyond their control, a $25.00 Administrative “Freeze” Fee will be charged to the account each month in lieu of the full monthly amount for the paused period. A Member may only pause their account one time in a calendar year. The Woodlake Community Association has sole discretion to waive the Administrative “Freeze” Fee.

Members wishing to rejoin after a second freeze or cancellation within the calendar year must pay a $60 rejoining fee to regain membership.

METHOD OF PAYMENT, The following method of payment shall be used for MONTHLY DUES:

Policy

1. Payment Options:

Woodlake handles its billing through a direct draft from either a checking or savings account or by credit card (credit card transactions take place through Member Portal). Woodlake will draft the charges made on your account monthly or by credit card (credit card transactions take place through Member Portal) at the time of purchase. You will have 30 days from the date a charge is drafted to dispute any charges that you feel were made in error. In the event that Woodlake is unable to collect payment via direct draft, the member will be notified, and payment must be made by other means within 30 days in order to maintain membership privileges.

2. Membership:

In the event of non-payment of dues or other charges that is not remedied within 30 days of notification, membership privileges will be terminated until the account is brought current. Family membership privileges are for the member, spouse and unmarried dependents. Upon reaching the age of 26, children are required to have their own membership. Other persons in the household may qualify at the sole discretion of the manager.

3. Guest Policy:

Each membership to the Amenities allows guests, accompanied by a Member, to the facility. A Member has 24 guest passes electronically attached to their e-pass and debited from the pass for each use. A Member’s e-pass reset to 24 guest passes May 1 of each year. Guest Passes do not carry over. When the allotted 24 guest passes have been used, guests accompanied by a Member shall pay $15.00 per visit.

4. Resignation and Downgrades:

All resignation requests and requests to downgrade membership level must be submitted in writing to the membership office. Such requests must be made by the 20th of the month.

5. Facility Availability:

Access to Amenities may be limited based on the type of membership selected. Amenities may occasionally be unavailable during normal hours, due to repair, maintenance and upgrades. Amenities hours are also subject to change at the discretion of management. There will not be an adjustment in dues for any period during which a portion of the Amenities is unavailable, or due to a change in hours, unless management, in its sole discretion, determines that an adjustment should be made.

6. Health and Safety Considerations:

The use of the facilities and participation in programs and courses is at the sole risk of the Member(s). Member is solely responsible for being aware of his/her medical history and should consult with a physician prior to engaging in exercise or other activities offered by the Amenities. Member is also solely responsible for making sure he/she has the knowledge and ability necessary to safely utilize the Amenities equipment and facilities. If a member has any questions about how to use any equipment, he/she is responsible for seeking assistance from the Amenities certified staff. Member understands that a separate training session (additional fees may apply) may be necessary to educate member on how to properly utilize equipment. Member agrees to only utilize equipment and portions of the facility that he/she can utilize safely and acknowledges that not all equipment within the Amenities may be safe for his/her use, depending on age, size, health, maturity, swimming ability, and other considerations. Members are responsible for making sure their family members and guests safely utilize the facility and equipment. It is understood that personal injury may result, despite the best intentions of the Amenities and even if the Amenity takes adequate precautions. Member agrees that the Amenities and its owners, managers, instructors, operators, employees and contractors shall not be responsible for, and are hereby released from, any liability or claim related to any activity connected to use of the Amenities.

7. Rules and Regulations:

All Members and their families and guests must comply with all rules and regulations established by the Amenities. Rules and regulations are subject to change without notice. The Amenities reserves the right to suspend or terminate membership privileges in its sole discretion as a result of violations of its rules and regulations. The Amenities reserves the right to suspend or cancel this Agreement at any time if it, in its sole discretion, determines that the member or his/her family member cannot safely utilize the facility or is not following Amenities’ rules, is being disruptive or posing a hazard to other members or to Amenities staff, or for any other reason. Any suspension or termination due to failure to follow the rules and regulations related to use of the facility shall not entitle the Member(s) to a reimbursement of any fees already paid in accordance with this Agreement.

8. Entire Agreement:

This Agreement constitutes the entire agreement between the parties. Any promise, representation, understanding, oral or written, pertaining directly or indirectly to the agreement, which is not contained herein, is hereby waived. This contract is not binding on the Center until the acceptance below is signed. Any suit to enforce this Agreement shall be brought in the appropriate court in Chesterfield County, Virginia.

9. Dues, Fees and/or Prices Are Subject To Changes.
